Terms of Service

Last Updated: [Month DD, YYYY]

These Terms of Service govern your access to and use of the website at zhiruntong.com and the mobile management application that HK ZANVIX CO., LIMITED publishes through the Apple App Store and Google Play. They form a binding agreement between you and HK ZANVIX CO., LIMITED. Please read them in full before you create an account, download the Application, or use either of our channels, and keep a copy for your records.

1. Acceptance of These Terms

By creating an account with us, downloading, installing or using the Application, purchasing a subscription from us, or otherwise accessing the Website, you confirm that you have read, understood and agree to be bound by these Terms of Service, and that you have the legal capacity to enter into them. If you do not agree with any part of these Terms, do not use the Website or the Application.

1.1 How these Terms fit with our other documents

These Terms operate together with our Privacy Policy, which explains how we collect, use, share and protect personal information in connection with the Website and the Application. The Privacy Policy is incorporated into these Terms by reference. You should read the Privacy Policy before using the Application, particularly Section 9 of it, which describes the advertising platforms we use and the controls available to you.

1.2 Documents that take priority

Where these Terms conflict with another document, the following order of priority applies, except where the conflict is required to be resolved differently by law:

  1. the Apple App Store Terms of Use or the Google Play Terms of Service, in respect of distribution through, and transactions conducted by, the relevant store;
  2. an individually negotiated written agreement signed by both you and us, including an engagement letter, order form, service agreement or data processing addendum;
  3. these Terms of Service;
  4. the Privacy Policy, and any other policy published by us on the Website.

1.3 Effective date and governing document

Effective Date: [Month DD, YYYY]

These Terms take effect on the Effective Date stated above and apply to all access to and use of the Website and the Application from that date. They may be amended from time to time in accordance with Section 16, and the version in force at the time of your use is the version that governs your use.

1.4 Our contact details

These Terms are made by HK ZANVIX CO., LIMITED, of Room 701 (Unit 127), 7/F, Tower B, New Mandarin Plaza, 14 Science Museum Road, Tsim Sha Tsui East, Hong Kong. Our business support address is support@zhiruntong.com and our key accounts address is qiuwentao@zhiruntong.com.

2. Eligibility and Age

You must be at least 18 years old, or the age of majority in your country of residence if that is higher, in order to create an account, to download the Application or to enter into a commercial relationship with us. The Application is a business productivity tool intended for organisations and for adults acting in a professional capacity.

2.1 Minors

If you are below the applicable age of majority, you may use the Website and the Application only with the prior consent and continuing supervision of a parent, guardian or other person holding parental responsibility, who accepts these Terms on your behalf and who is the contracting party. We do not knowingly permit minors to create accounts or to enter into paid arrangements with us, and we may close an account that we reasonably believe was created by a minor without the necessary consent.

2.2 Where you act for an organisation

If you use the Website, the Application or our services on behalf of a company, partnership, institution or other body, you confirm that you are authorised to bind that entity, that you have authority to accept these Terms on its behalf, and that the entity agrees to be bound by these Terms. Your employer or principal remains responsible for your use of the services and for the accuracy of the information you enter on its behalf.

2.3 Export and sanctions eligibility

Availability of the Application and of certain services is restricted in certain territories, including where sanctions or export controls apply. Section 14 explains those restrictions in more detail, and it forms part of your eligibility to use our services.

3. Account and App Use

3.1 Distribution through the app stores

The mobile management application is distributed through the Apple App Store and Google Play. Where you obtain the Application from a store, the store's terms govern the download, the installation, the update and the licensing of the Application on your device, and you are responsible for compliance with those terms. Your use of the Application is additionally subject to these Terms. Where the stores charge a price, take payment, manage a subscription or process a refund, they act as the merchant of record, and their policies govern that transaction. We do not receive your full payment card details.

3.2 Accounts and registration

Some features of the Application and the Website are available only to registered users. When you register you agree to provide accurate, current and complete information, to keep it updated, and to notify us promptly of any change. You are responsible for activity that occurs under your account, whether or not you performed that activity yourself. You may not create multiple accounts to manipulate promotional offers, free tiers, advertising rewards or usage limits, and you may not share, resell or transfer an account.

3.3 Account security

You must keep your credentials confidential, must not allow another person to use your account, and must notify us immediately at support@zhiruntong.com if you believe your account has been accessed without authorisation. You are responsible for all activity on your account until we have changed your password or disabled the account. We may require additional verification before we disclose information about an account or reset a credential.

3.4 Responsible use

You are responsible for the accuracy, legality and quality of the data you enter into the Application, for the lawful basis on which you enter it, and for obtaining the consents of any third party whose information you enter. Business records you create through the Application, including records relating to IT development and consultancy engagements, import/export & wholesale of general goods transactions, and business advisory and marketing planning activity, reflect your organisation's own commercial position. You should review them before relying on them for a decision, and you should not use the Application as the sole record of a regulated obligation unless you have established an appropriate backup.

3.5 Availability and changes to the Application

We may update the Application periodically to add features, fix defects, address security issues or comply with changes in law or store policy. Where an update materially reduces a functionality you rely on, we will use reasonable efforts to notify you in advance through the Application or by email. We may retire the Application or particular features with reasonable notice where a store policy, a legal requirement or a commercial decision makes it necessary.

Some of our services are provided through the Website and the Application on a self-service basis. Others are provided as bespoke engagements under a written agreement, in which case that agreement governs the scope, deliverables, fees, service levels and intellectual property allocation for that engagement, and these Terms apply to it only insofar as the agreement does not provide otherwise. Where you subscribe to a paid tier of the Application, the scope of that tier is described in the offer presented to you at the time of purchase.

4.3 Professional advice and client responsibility

Business advisory and marketing planning output is advisory in nature and is based on the information available to us at the time. It does not constitute legal, tax, accounting, investment or regulatory advice, and it does not guarantee any commercial outcome. You remain responsible for the commercial decisions you take and for obtaining any specialist advice your circumstances require.

5. Licence and Acceptable Use

5.2 Licence granted

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Application on devices you control, and to access and use the Website and the paid features you have subscribed to, for your own business purposes. Where you use the services for an organisation, that licence extends to your authorised users within that organisation, in accordance with the user limit of your plan.

The licence does not include the right to resell, sublicense, rent, lease, sub-license, distribute, mirror or otherwise make the Application or the services available to third parties, and it does not include any right to the underlying intellectual property beyond what is necessary to use the service. All rights not expressly granted are reserved by HK ZANVIX CO., LIMITED.

5.3 Prohibited conduct

You must not, and must not permit anyone to:

  • use the Website, the Application or any service for any unlawful purpose, or in breach of any applicable law, regulation, sanction or export control, including the laws of the Hong Kong SAR and the jurisdiction in which you are located;
  • infringe, misappropriate or otherwise violate the intellectual property rights, trademarks, trade secrets or other rights of HK ZANVIX CO., LIMITED, of a client of ours, or of any third party, including by copying, scraping, crawling or extracting content, designs, code, data or documentation without our written permission;
  • reverse engineer, decompile, disassemble, derive source code from, or attempt to discover the underlying structure of the Application or any of our software, except to the limited extent that such restriction is prohibited by applicable law, and never for the purpose of developing a competing product;
  • circumvent, tamper with, break or bypass any licensing, entitlement, usage limit, frequency cap, rate limit, security feature, attestation or metering mechanism, or attempt to gain unauthorised access to any account, system or data;
  • abuse the advertising reward mechanism, including by using automated or scripted means to earn rewards, watching advertisements without genuine engagement, using multiple or fraudulent accounts, incentivising or coercing others to watch on your behalf, or otherwise gaining impressions, clicks or rewards in any way that is artificial;
  • engage in fraud, including fraudulent reward redemption, payment fraud, chargebacks obtained through misrepresentation, false claims for refunds, counterfeit reviews, or the manipulation of engagement metrics;
  • upload, import or transmit content that is unlawful, infringing, defamatory, threatening, hateful, obscene, or that contains malicious code, or that violates the privacy or intellectual property rights of another person;
  • interfere with the operation or security of the Website, the Application or our infrastructure, including by introducing malware, attempting to gain unauthorised access, denying service to others, or probing for vulnerabilities without our written permission;
  • use automated means, scrapers, bots or aggregation services to extract content from the Website or the Application, except for the limited extraction permitted by a search engine's standard indexing protocol;
  • use our services to build or train a competing product, to benchmark us publicly in a misleading way, or to misrepresent an affiliation with us;
  • resell, sublicense, or provide access to the Application to a third party through any means, including through a shared device service, an account-sharing arrangement or an app store account that you do not own;
  • misrepresent the origin of content you submit, or submit content that you do not have the right to submit;
  • commercially exploit any of our trade marks, logos, mascots or brand elements without permission.

5.4 Commercial use of general goods information

Where you access wholesale, pricing or logistics information through the Application in connection with import/export & wholesale of general goods activity, you may use that information for your own commercial purposes, but you may not resell it, publish it as a price feed, or use it to build a competing marketplace or directory without our written consent.

6. Intellectual Property

6.1 Our content

All content on the Website and in the Application, including text, product descriptions, service descriptions, documentation, interface designs, layouts, graphics, icons, illustrations, photographs, videos, animations, the animal and expression mascots used across our materials, the underlying software, and the trademarks, trade names, logos and domain names used in connection with them, are owned by HK ZANVIX CO., LIMITED or its licensors. We own or have the right to use all of them, and they are protected by copyright, trademark, design and other intellectual property laws. Our business scope, our product and service descriptions, our mascots and our brand elements are our most valuable assets, and they are protected accordingly.

6.2 Our licences to you

We grant you a limited, revocable, non-exclusive, non-transferable licence to view and use the Website content and the Application for your internal business purposes during the term of these Terms. No other licence, express or implied, is granted. You may not copy, reproduce, publish, republish, translate, adapt, modify, create derivative works from, distribute, sell, sublicense, scrape or frame the Website content or the Application, except as expressly permitted by law or with our written permission.

6.3 Your content

You retain all right, title and interest in the business data, records, documents, photographs, files and other content you upload to, create in or transmit through the Application and the Website. You grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, copy, transmit, display, perform, process and adapt that content solely to the extent necessary to operate, secure, support and improve the services, to provide the functionality you have requested, and to comply with our legal obligations. We do not sell your content, and we do not use it to build advertising profiles.

6.4 Feedback

If you send us suggestions, ideas, enhancement requests, error reports or other feedback about the Website, the Application or our services, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use that feedback for any purpose, including to develop and modify our products and services, without restriction and without any obligation to you or attribution. This does not reduce your ownership of your content.

6.5 Third-party assets

The Website and the Application may display or reference third-party names, trademarks, product names, services, organisations, content or links, including those of app store operators, advertising platforms, logistics providers and technology vendors. Their names, trademarks and materials remain the property of their respective owners, and their use is subject to their own terms. Nothing in these Terms grants you any right to use any third-party name, mark or content. Where third-party content is incorporated into the services, the relevant third party may assert its own rights directly against you.

6.6 No copying of the brand character set

The mascot characters, illustrations and brand voice used across the Website, the Application and our marketing materials are our creative assets. You may not reproduce them, adapt them for your own commercial identity, or use them in a way that suggests an endorsement or affiliation that we have not given.

7. Purchases, Fees, Subscriptions and Refunds

7.1 App store billing

Where you purchase a subscription, an in-application purchase or any other paid item through the Apple App Store or Google Play, the transaction is concluded between you and the store operator as merchant of record. Payment is taken by the store using its own billing methods, and the store applies its own pricing, taxes, invoicing and refund procedures. Your receipt, invoice and refund enquiry for such a purchase are handled through your store account. Where you subscribe on the Website or through a direct invoice, the payment terms are set out in the order form or invoice that applies to that purchase.

7.2 Fees, taxes and currency

Fees are expressed in the currency shown at the point of purchase. Prices include the taxes and duties required to be collected in the jurisdiction where the purchase is made; where a tax is not collected by the store but is payable by you, you are responsible for paying it, and we may require evidence of payment before we provide a tax invoice. We may change our prices from time to time, and where a change affects an existing subscription, it will take effect from your next renewal date and we will give you reasonable notice beforehand.

7.3 Subscriptions and renewal

Unless we state otherwise at the point of purchase, subscriptions renew automatically for the same period at the price then in effect until cancelled. You may cancel through the subscription settings in your store account or, for a direct subscription, by written notice to support@zhiruntong.com. Cancellation takes effect at the end of the current paid period unless we agree otherwise in writing or the store's rules provide for immediate effect. We will send a reminder before an annual subscription renews where the store permits us to do so.

7.4 Refunds

Refund entitlements for purchases made through the Apple App Store or Google Play are determined by the store's refund policy, and we implement store-approved refunds in accordance with those policies. For purchases made directly from us, we will consider a refund request made within 14 days of the invoice date, and where we agree a refund, we will return the amount paid to the original payment method within 14 days of agreeing it. Refunds are discretionary and do not apply where the service has been substantially used, where the request arises from a change of mind after a promotional offer has expired, or where the purchase was made outside the refund window, except where the law requires otherwise or the service was materially faulty. In the case of a materially faulty service, your statutory rights are unaffected.

7.5 Taxes, duties and customs on goods

Where we supply general goods as part of our import/export & wholesale of general goods activity, prices are exclusive of customs duties, import taxes, VAT and delivery charges unless the invoice expressly states otherwise. Those amounts are payable by you and are set out on the invoice or the shipping documentation. You are responsible for confirming that the goods may lawfully be imported into your jurisdiction and for obtaining any licence or permit your jurisdiction requires.

8. Third-Party Services and Advertising

8.1 Advertising in the Application

The Application is supported by advertising. Where you use the Application, advertising may be delivered through third-party networks. The platforms that may be integrated include Google AdMob, Google Ad Manager, Meta Audience Network, Unity Ads, AppLovin, ironSource (LevelPlay), Vungle/Liftoff, Pangle (TikTok for Business), Mintegral, Chartboost, AdColony, InMobi, Amazon Ads, Digital Turbine, Smaato, Fyber, Ogury, Criteo, Teads, Moloco, PubMatic and Magnite. These providers act as independent controllers for the data they collect and process it under their own privacy policies and their own legal bases. The full breakdown of each platform, the data each may use, and the link to each platform's opt-out mechanism is set out in Section 9 of our Privacy Policy.

8.2 Your choices regarding advertising

You may decline personalised advertising through the consent prompt in the Application or the Website, through your device's advertising identifier controls, through the operating system's tracking permission, or by enabling a network-level ad blocker. Where you decline, you will continue to receive contextual advertising and all of the business functionality of the Application. We do not condition access to the Application's core functionality on consent to advertising or to tracking.

8.3 Store and platform terms

Where you download, install, update or purchase the Application through the Apple App Store or Google Play, the store's terms apply in addition to these Terms, and the store's policies govern the commercial transaction, the refund process and the handling of your account with the store. Section 15 explains the effect of those terms on these Terms in more detail.

8.4 Third-party content and links

The Website and the Application may contain links to third-party websites, applications, services or content, including store listings, advertising opt-out pages, supplier catalogues and logistics platforms. Those links are provided for convenience. We do not control third-party content, we do not endorse it, and we are not responsible for its availability, accuracy, security, privacy practices or content. Your use of a third-party service is governed by that provider's own terms. Where a third-party service is essential to a feature you use, we will identify it clearly.

8.5 Advertising compliance

We require our advertising partners to comply with the law, including applicable consumer protection and advertising rules, and we require that advertisements served through the Application are not deceptive, do not misrepresent our products or services, and are not directed at children. We do not knowingly permit our partners to use the personal information we provide to them for purposes unrelated to the advertising relationship. If you believe an advertisement served in the Application is inappropriate, misrepresented or unlawful, please tell us at support@zhiruntong.com with a screenshot and the date and time you saw it, and we will investigate and take appropriate action, which may include instructing the partner to withdraw the advertisement.

9. Disclaimer of Warranties

Except as expressly stated in these Terms, the Website and the Application are provided on an "as is" and "as available" basis, and to the fullest extent permitted by law we disclaim all warranties, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, availability or uninterrupted operation.

9.1 The Website and the Application

We do not warrant that the Website or the Application will be uninterrupted, error-free, or free of viruses or other harmful components, that any particular feature will be available, that the Application will function on every device or operating system version, or that results produced by the Application will be complete or suitable for a particular purpose. You are responsible for maintaining the security of your device and of your account credentials.

9.2 Content and data

Information published on the Website, including descriptions of our services, business scope, market information and advisory material, is provided for general information only. It is not professional advice, it does not take account of your particular circumstances, and it should not be relied on as the sole basis for a decision. Data entered into the Application and outputs derived from it reflect the accuracy of what you enter and the configuration you apply. We do not warrant the accuracy of data obtained from third-party sources that appear in the Application, including supplier catalogues, logistics status feeds or market benchmarks.

9.3 Third-party services and links

We do not warrant the availability, security, accuracy or quality of third-party services, platforms or content, including the Apple App Store and Google Play, the advertising networks listed in Section 8, and any service to which the Website or the Application links.

9.4 Fair use limitation

Nothing in this Section 9 excludes or limits any warranty, right, remedy or liability that cannot lawfully be excluded or limited, including any consumer guarantee or statutory right that applies to you notwithstanding these Terms, and including any liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.

10. Limitation of Liability

Subject to Section 10.4, and to the fullest extent permitted by applicable law, HK ZANVIX CO., LIMITED, its officers, employees, agents, licensors and store distribution partners are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profit, revenue, goodwill, anticipated savings, business opportunity, data or data loss, or for any interruption of business, however caused and however arising, even if we have been advised of the possibility of such loss.

10.1 Direct loss

Where liability cannot be excluded, our total aggregate liability to you for all claims arising out of or in connection with the Website, the Application or these Terms, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of the total amount you paid us for the paid services or subscriptions in the twelve months preceding the event giving rise to the claim, and HK$5,000.

10.2 Excluded losses

We are not liable for: loss of business, contracts, opportunity, anticipated savings, revenue or profit; loss or corruption of data; loss of goodwill or reputation; wasted expenditure or loss of anticipated profit; the cost of procuring substitute goods or services; business interruption; loss or corruption of data; or any indirect or consequential loss, in each case even where the possibility of loss was foreseeable.

10.3 Excluded liability

We do not exclude or limit liability arising from fraud or fraudulent misrepresentation, from death or personal injury caused by negligence, from any liability that cannot lawfully be excluded, from any liability arising under a written engagement agreement where that agreement provides otherwise, or from any liability that the applicable law in your jurisdiction does not permit us to exclude or limit, including the consumer guarantees that apply to you as a consumer notwithstanding these Terms.

10.4 No limitation on non-excludable liability

Nothing in this Section 10 excludes or limits any liability of ours for anything that applicable law does not permit to be excluded or limited. Where a term of these Terms is or becomes unlawful or unenforceable in a particular jurisdiction, it applies only to the extent permitted in that jurisdiction.

10.5 Allocation of risk

You acknowledge that the services are provided at the price and on the terms set out in these Terms, that the allocation of risk in this Section 10 is reflected in that pricing, and that you have had the opportunity to seek independent advice before accepting these Terms.

11. Indemnification

11.1 Your indemnity

You agree to indemnify, defend and hold harmless HK ZANVIX CO., LIMITED, its officers, employees and agents against any third-party claim, demand, loss, damage, cost or expense, including reasonable legal fees, arising out of or in connection with: your breach of these Terms; your use of the Website, the Application or the services in a manner that infringes the rights of a third party; your violation of applicable law, including sanctions, export controls and customs requirements; the content you upload to or transmit through the Application; or your use of a third-party service that you elect to use in connection with the services.

11.2 Our indemnity

We will defend you against any third-party claim that the Application, as supplied by us and used in accordance with these Terms, infringes that third party's intellectual property rights, and we will pay damages finally awarded or amounts agreed in settlement. This obligation does not apply where the claim arises from your modification of the Application, your combination of the Application with software or content not supplied by us, your use of the Application after we have provided a non-infringing replacement, or your use of the Application in breach of these Terms. If a claim is threatened, we may procure the right for you to continue using the affected item, modify it so that it is non-infringing while remaining materially equivalent, or terminate the affected item and refund the prepaid fees for the unused period.

11.3 Conduct of claims

The indemnified party must notify the indemnifying party promptly of any claim, permit the indemnifying party to assume control of the defence, and provide reasonable assistance at the indemnifying party's cost. The indemnifying party must not settle any claim in a way that imposes a non-monetary obligation on the indemnified party or that admits fault on its behalf without that party's consent, not to be unreasonably withheld.

12. Termination

12.1 Termination by you

You may stop using the Website and the Application and close your account at any time. Where you have a paid subscription, closing the account does not by itself cancel the subscription; cancel it through your store account or by written notice as described in Section 7.3. Where you terminate a paid engagement, our engagement agreement governs the consequences of early termination.

12.2 Termination by us

We may suspend or terminate your access to the Website, the Application or a paid subscription immediately, with or without notice, where: you materially breach these Terms; your use of the services infringes the rights of another person; your account or activity creates a security risk to our systems or to our other users; we are required to do so by law, by a store policy, or by a sanctions or export control requirement; or your account has been inactive for a prolonged period. Where the circumstances allow it, we will warn you first and give you an opportunity to remedy the breach. We may also terminate a free account that has been inactive for 24 months, after notice to the registered email address.

12.3 Store action

The Apple App Store and Google Play may remove or restrict the Application, or restrict your access to it, under their own policies. We have no control over that decision, and it is not a breach of these Terms by us.

12.4 Effect of termination

On termination: your right to use the Website, the Application and the paid services ends immediately; your subscriptions stop renewing and no further charges are made; your personal information is retained or deleted in accordance with Section 7 of our Privacy Policy; and any outstanding invoices become immediately due. Sections 6, 7, 8, 9, 10, 11, 13, 14, 15 and 17 survive termination, together with any other provision that by its nature is intended to survive, because they concern obligations that should continue after the relationship ends.

13. Governing Law and Disputes

13.1 Governing law

These Terms and any dispute arising out of or in connection with them, whether contractual or non-contractual, including any dispute concerning their existence, validity or termination, are governed by and construed in accordance with the laws of the Hong Kong SAR, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13.2 Dispute resolution process

Before commencing formal proceedings, you and we agree to attempt in good faith to resolve any dispute through direct negotiation between the individuals concerned, for a period of 30 days from the date on which written notice of the dispute is given to support@zhiruntong.com. For a business customer, that notice should be sent to the account contact named in the relevant agreement. Either party may commence proceedings at any time if the limitation period is approaching, if the dispute concerns an urgent injunctive requirement, or if negotiations have failed.

13.3 Arbitration

Any dispute arising out of or in connection with these Terms that is not resolved under Section 13.2 shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its then-current Administered Arbitration Rules, by a single arbitrator appointed in accordance with those rules. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final and binding on both parties, and either party may seek enforcement of the award in any court of competent jurisdiction.

13.4 Jurisdiction and venue

Subject to Section 13.3, the courts of the Hong Kong SAR have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and each party irrevocably submits to the jurisdiction of those courts. Where arbitration applies, this Section 13.4 governs the courts in which any interim, conservatory or enforcement measure may be sought.

13.5 Costs

Each party bears its own costs of the dispute resolution process and of the arbitration, except that the arbitrator may award costs to the successful party where the arbitration was brought in the ordinary course and the applicable rules permit it.

13.6 Class action waiver

Where permitted by applicable law, you and we agree that any dispute will be resolved on an individual basis and not as a representative, member or class action. If a claim is brought on behalf of a class or group, you agree that the claim is subject to the terms of this Section 13.6 and that you will not participate in it as a member or representative of the class or group. This clause does not limit the right to bring a claim in your own name and in your own individual capacity, and it does not apply where the applicable law does not permit a waiver.

13.7 Notices

Notices relating to these Terms, including notices of breach, of termination and of amendments, must be in writing and sent to our office at Room 701 (Unit 127), 7/F, Tower B, New Mandarin Plaza, 14 Science Museum Road, Tsim Sha Tsui East, Hong Kong, or to support@zhiruntong.com. Notice by email is treated as received on the first business day after it is sent, provided that no delivery failure notification is received.

14. International and Export Compliance

Because our business scope includes import/export & wholesale of general goods and business advisory and marketing planning for organisations operating across borders, we maintain compliance controls that form part of our contractual relationship with you. Your agreement to these Terms is an agreement to comply with them.

14.1 Sanctions

We comply with all applicable economic and trade sanctions, including those administered by the United Nations, the United States Office of Foreign Assets Control, the European Union, the United Kingdom Office of Financial Sanctions Implementation, and the Hong Kong SAR, together with any restrictive measures those authorities impose. We do not transact with sanctioned persons or entities, in sanctioned territories, or in respect of sanctioned goods, technology, software, or financial instruments. If a transaction, a counterparty, a destination or an item becomes subject to a restriction, we will suspend or decline it, and we will notify you where we are permitted to do so. You must not request that we do anything that would place us in breach of sanctions, and you must not use the Website or the Application to seek to evade any restriction.

14.2 Customs and import/export controls

Where we act as importer or exporter of record, we comply with customs legislation, import and export licensing requirements, product safety and conformity rules, and restrictions on the transit of controlled goods. You are responsible for the accuracy of the descriptions, classifications, origin statements, values and quantities you supply, and you must not ask us to misdescribe goods, to falsify an invoice or a certificate of origin, or to engage in any practice that would constitute customs fraud. We may refuse to handle a shipment where we reasonably suspect that it would breach the law.

14.3 Know your customer and anti-money laundering

We conduct proportionate due diligence on customers and counterparties, including identity verification, beneficial ownership screening, sanctions screening, and heightened review where a transaction is large, complex, unusual, or otherwise higher risk. We may ask for information that we reasonably need for that due diligence, and you agree to provide it promptly and accurately. Where we are unable to complete due diligence to our satisfaction, we may decline or delay the relationship, and we may report or disclose information where the law requires it, including to competent authorities. Where we are required to restrict, suspend or terminate a relationship under anti-money-laundering law, our ability to do so, and our ability to explain why, may be limited by that law.

14.4 Trade compliance for the Application

Access to the Application and to certain features of it may be restricted by territory, and the Application is not designed to circumvent, and must not be used to circumvent, geographic, licensing or content restrictions. Where the law requires us to geo-block, throttle or restrict functionality in a particular jurisdiction, we will do so and will indicate the restriction where we are permitted to do so.

15. App Store Terms Prevail

15.1 Apple

Where you download, install, update or purchase the Application through the Apple App Store, the Apple App Store Terms of Use (and, where applicable, the Apple Media Services Terms and Conditions) apply to that distribution and to any transaction carried out through it. Where a provision of the Apple terms conflicts with a provision of these Terms, the Apple terms prevail in relation to that distribution, download, installation, update and transaction. This applies in particular to the rules on the licence grant, on billing and refunds, on territory availability, and on the scope of permitted use.

15.2 Google

Where you download, install, update or purchase the Application through Google Play, the Google Play Terms of Service and the Google Play Developer Program policies that are made available to you as a user apply to that distribution and to any transaction carried out through it. Where a provision of those terms conflicts with a provision of these Terms, those terms prevail in relation to that distribution, download, installation, update and transaction.

15.3 Practical effect

In practical terms: the store governs how you obtain and pay for the Application, how updates are delivered, and how refunds for store purchases are handled; we continue to govern the functionality we provide, the business scope we deliver, and the standards we apply to the Application and to the data it handles. Where the stores' terms are more protective of you than these Terms, we will honour the store's terms, and where these Terms give you a right that the store's terms do not address, these Terms apply.

15.4 Continuation

This Section 15 applies for as long as the Application is distributed through the relevant store, and it survives the removal of the Application from a store or the termination of these Terms.

16. Amendments

We may amend these Terms from time to time to reflect changes in the Application, in our services, in the law, or in the requirements of the Apple App Store or Google Play. We will publish the amended version on the Website with an updated "Last Updated" date, and we will notify affected users by email, through the Application, or by an in-app notice, as appropriate, before the change takes effect.

16.1 Material changes

Where an amendment materially affects your rights or obligations, we will give you at least 14 days' notice before it takes effect, and we will describe the change clearly enough for you to understand it. Where an amendment reduces a functionality you rely on, extends the personal information we use for advertising, or changes the terms on which a paid subscription renews, we will give you at least 30 days' notice and, where the law requires it, the opportunity to cancel or to withdraw consent before the change takes effect.

16.2 Your acceptance

If you continue to use the Website or the Application after an amendment takes effect, you are deemed to have accepted the amended Terms. Where the law requires your express consent, we will ask for it, and continued use will not be treated as consent where the law prohibits that inference. If you do not accept the amended Terms, you may terminate your use of the services in accordance with Section 12.

16.3 Version history

Previous versions of these Terms and a summary of the changes made to them are available on request to support@zhiruntong.com.

17. Severability, Entire Agreement, Assignment, Waiver

17.1 Severability

If any provision of these Terms is held by a competent court, tribunal or authority to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed. If a provision is severed, it does not affect the validity, legality and enforceability of the remaining provisions, and the severed provision continues in force in every other jurisdiction in which it is enforceable.

17.2 Entire agreement

These Terms, together with the Privacy Policy and any other document expressly incorporated by reference, constitute the entire agreement between you and HK ZANVIX CO., LIMITED in relation to the Website and the Application, and supersede all prior and contemporaneous understandings, proposals, representations and communications, whether written or oral. Where you have relied on a statement that is not reflected in these Terms, nothing in this Section 17 limits any liability for fraud or fraudulent misrepresentation. You should note that these Terms apply to the Website and the Application; they do not constitute the terms on which we supply bespoke services, which are set out in the relevant engagement agreement.

17.3 Assignment

You may not assign, novate or otherwise transfer these Terms, or any right or obligation under them, without our prior written consent. We may assign or novate these Terms, or any right or obligation under them, to any affiliate, successor or assignee of the business, on written notice to you. An assignment does not relieve the assigning party of its obligations under these Terms where the assignment does not materially change your rights, and it takes effect on notice.

17.4 Waiver

No failure or delay by us to exercise a right or remedy under these Terms constitutes a waiver of that right or remedy. A single or partial exercise of a right or remedy does not preclude any further exercise of that or any other right or remedy. A waiver is effective only if given in writing and signed by us.

17.5 Third-party rights

A person who is not a party to these Terms has no right to enforce any of its terms, except that the store operators have the benefit of Section 15 in respect of the distribution of the Application, and our affiliates and personnel may enforce Sections 6, 10 and 11.

17.6 Force majeure

Neither party is liable for a failure or delay in performing its obligations under these Terms to the extent that the failure or delay is caused by an event beyond its reasonable control, including acts of God, war, civil unrest, epidemic or pandemic, government action, embargo, sanctions, failure of public infrastructure, or failure of a telecommunications or cloud service provider. The affected party must notify the other promptly and use reasonable efforts to mitigate the effect. Where a force majeure event continues for more than 30 days, either party may terminate the affected services on written notice.
